Disclosure Agreement

This Disclosure Agreement (“Agreement”) is made between Global Health (“Disclosing Party”) and the user or partner accessing our services (“Receiving Party”).

1. Definition of Confidential Information

“Confidential Information” means any non-public, proprietary, or sensitive information disclosed, including but not limited to: business strategies, financial data, customer information, intellectual property, and technical materials.

2. Obligations of Receiving Party

The Receiving Party agrees to:

  • Maintain confidentiality of all disclosed information.
  • Not disclose, copy, or distribute Confidential Information to third parties without prior written consent.
  • Use Confidential Information solely for the purpose of evaluating or engaging in business with the Disclosing Party.

3. Exclusions

The obligations in this Agreement do not apply to information that:

  • Is or becomes publicly available without breach of this Agreement.
  • Was lawfully known by the Receiving Party prior to disclosure.
  • Is independently developed by the Receiving Party without reference to Confidential Information.
  • Is disclosed pursuant to legal or regulatory requirements.

4. Term

This Agreement remains in effect for a period of 2 (two) years from the date of disclosure, unless otherwise agreed in writing.

5. Return or Destruction

Upon termination or request, the Receiving Party shall promptly return or destroy all Confidential Information received from the Disclosing Party.

6. Governing Law

This Agreement shall be governed by the laws of the jurisdiction in which Global Health operates.

7. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior agreements or discussions.
